In Vietnam’s real estate market, the value of a project lies not entirely in its location or design, but in its legal documentation.

We advise domestic and foreign investors, project developers, industrial park infrastructure developers and financial institutions throughout the entire lifecycle of real estate in Vietnam: from land access, project development, acquisitions and financing to operation, leasing and dispute resolution. Our experience spans the principal segments of the market: residential real estate, commercial and office real estate, and industrial real estate—a segment directly linked to manufacturing FDI inflows.

Our Approach

In acquisition transactions, we begin with the structuring question: should the investor acquire the project or the project company? This is because project transfers, equity transfers, business cooperation arrangements and joint ventures are subject to significantly different legal conditions, tax costs, approval procedures and levels of inherited risk.

Our legal due diligence is designed to support precisely that decision. We do not stop at listing the documents currently available, but assess the legal completion status of the project: which procedures remain outstanding, how long they may take, and where potential bottlenecks may arise. This is the information that ultimately determines the price and terms of the transaction.

When a project requires financing, we structure funding solutions and security arrangements over assets specific to the sector, including land use rights, future assets and property rights arising from contracts. When disputes arise between transfer parties, between developers and contractors, or between developers and purchasers in residential projects, our dispute resolution team takes over with the advantage of understanding both the project’s legal documentation and litigation practice.

  • Project finance and security over land use rights, future assets and property rights;
  • Representation in real estate and construction disputes, and other disputes arising from transactions, before courts and arbitral tribunals.
