About

Nguyen Van Phuc is the Managing Partner of HM&P, where he directly leads complex M&A transactions, foreign investment matters and corporate governance mandates for multinational corporations, listed companies and investment funds operating in Vietnam.

With more than 15 years of professional legal practice, he has successfully advised on numerous large-scale M&A and investment transactions across key sectors of the economy, including pharmaceuticals and healthcare, banking and finance, manufacturing, retail and technology. Clients trust him not only for his strong legal expertise, but also for his ability to design commercially viable solutions within Vietnam’s rapidly evolving legal environment, from transaction structuring and negotiations with counterparties to engagement with regulatory authorities.

Before founding HM&P, he held key positions at leading law firms and served in senior in-house legal roles at some of Vietnam’s largest listed companies. This diverse experience on both “sides of the negotiating table” gives him a deep understanding of how businesses operate and make decisions. It forms the foundation of the practical, risk-focused advisory approach that he pursues at HM&P.

He is the author of hundreds of legal analysis articles published in reputable professional journals and publications, including Saigon Economic Times, Legal Electronic Magazine, Court Magazine, Vietnam Lawyers Journal, Investment Review and Securities Investment Review, focusing on corporate law, foreign investment, capital markets and dispute resolution.

Representative Experience

  • Advised on the acquisition of a real estate company in Lam Dong valued at USD 30 million, including legal due diligence, contract negotiations and transaction closing.
  • Represented the buyer in the acquisition of an 85% equity interest in a pharmaceutical company, with a transaction value of approximately USD 80 million, including legal due diligence, contract negotiations and M&A approval procedures.
  • Advised Singapore-based private equity funds on investment structures for investments in Vietnamese companies and IPO/listing mechanisms under the new Vietnamese securities law framework.
  • Advised a foreign bank on the entire process for terminating operations and revoking the licence of its representative office in Vietnam in accordance with regulations of the State Bank of Vietnam.
  • Advised an international cosmetics group on product notification procedures and compliance with import regulations for a portfolio of products subject to special chemical control across multiple brands.
  • Advised foreign-invested enterprises on compliance with Vietnam’s personal data protection laws, including preparation of impact assessment dossiers and establishment of the DPO function.
  • Represented corporate clients in shareholder disputes and disputes arising from M&A transactions before courts and arbitral tribunals, including VIAC, ICC and SIAC.
  • Advised on economic concentration notification procedures for M&A transactions meeting the notification thresholds under the Competition Law.
  • Advised listed companies on corporate governance, organisation of General Meetings of Shareholders and compliance with information disclosure obligations.
  • Advised a multinational pharmaceutical group on licensing procedures for the import of specially controlled chemicals under Vietnam’s new chemicals regulatory framework, including direct engagement with sector-specific regulatory authorities.
